LEGAL
Taypret Seller Terms
Effective date: 1 October 2026
These terms govern independent brands selling through Taypret and its merchant portal. They operate together with the seller’s signed commercial agreement and fee schedule. In a conflict, mandatory law prevails, followed by the signed agreement, its agreed fee schedule and these terms. No agreement may reduce mandatory customer rights.
1 Parties and eligibility
Operator: taypret Establishment, trading as Taypret. Commercial registration: 7055208115. E-commerce authentication: 0000330411. Customer service: support@taypret.com and 0558547562, 24 hours. Website: https://taypret.com. The seller is the legal person or proprietor identified in the signed onboarding agreement. The person accepting these terms must be authorised to bind the seller. Maintain all registrations, licences and authorisations required for the offered activity.
2 Onboarding and merchant account
Provide accurate legal identity, business address, authorised representative, registration and tax documents where applicable, verified bank details and contact information. Notify Taypret promptly of changes. Use the merchant portal to upload and maintain products; protect credentials and limit staff access. Taypret may verify documents, refuse onboarding or suspend inaccurate or non-compliant listings on reasonable grounds. Bank-detail changes require verification before payout.
3 Relationship and authority
The seller owns or lawfully controls its inventory and remains the supplier of its products. The seller appoints Taypret to display approved listings, coordinate orders and delivery, collect customer payments and administer refunds within the agreed arrangements and applicable law. This appointment does not create a partnership or employment relationship. Taypret does not acquire inventory or provide warehousing unless separately agreed in writing. The parties must obtain any payment-provider or regulatory approval needed for the collection and onward payout model.
4 Listings and product compliance
Supply genuine, lawful products and accurate photographs, measurements, fabric descriptions, prices, stock quantities, care instructions and origin claims. Own or obtain rights to all uploaded material. Do not list counterfeits or misleadingly describe products as Saudi-made. Keep stock current and remove unavailable items promptly. Identify customised items and lead times clearly. The seller is responsible for product safety, quality, warranties, recalls and required disclosures.
5 Order preparation and delivery
Acknowledge, prepare and hand over orders within the time agreed during onboarding or displayed for the product. Do not accept a same-day commitment you cannot meet. Inspect each item, check size and colour, package securely and retain the handover record. Notify Taypret immediately of stock errors or delays. No substitutions or price changes after acceptance without customer agreement. Taypret coordinates delivery where agreed; the seller must not promise unapproved delivery times.
6 Commission and other charges
The baseline commission is 15%, unless the signed fee schedule provides otherwise. The fee schedule must state the commission calculation base, treatment of product VAT, discounts and refunded orders, and whether commission VAT is additional. Delivery fees are accounted for separately and are not part of the product commission base unless expressly agreed. Gateway, Tamara, Tabby, campaign or other fees may be charged to the seller only if their allocation and calculation are agreed in writing. No payment-provider rate is assumed permanent. No seller-funded promotion may be applied without authorisation.
7 Monthly payouts and BNPL settlements
Customer payments are collected into Taypret’s business account, subject to approved payment arrangements. For completed orders, cleared undisputed net proceeds received by the end of a calendar month are paid to the seller on the first day of the following month. If banking closure prevents execution, Taypret initiates the transfer on the next banking day. Net proceeds equal seller-attributable receipts minus agreed commission and fees, applicable taxes, approved refunds and properly documented adjustments. For Tamara or Tabby orders, amounts received by month-end are included in the monthly payout. If the relevant settlement arrives after that payout date, Taypret initiates the seller’s net transfer immediately upon receipt, subject to bank processing, verification and any justified hold. “Receipt” means cleared settlement to Taypret, not the customer’s instalment payment. Taypret is not required to advance unsettled provider funds unless agreed in writing.
8 Statements adjustments and holds
Provide an itemised statement covering orders, receipts, commissions, fees, refunds, adjustments, held sums and transfers. The seller should report discrepancies promptly; delayed reporting does not waive a legally valid claim. Taypret may temporarily hold only an amount reasonably linked to an identified refund, chargeback, fraud investigation or legal requirement, explain the reason and review it promptly. Undisputed amounts remain payable. Refunds after payout may be offset against future proceeds with supporting records; any remaining shortfall is repayable following an itemised demand under the signed agreement. Customer refunds must not wait for the monthly seller payout.
9 Returns defects and disputes
Follow Taypret’s published Returns and Refunds Policy and mandatory consumer rights. A seller’s own “no returns” rule cannot override them. Cooperate with inspection and provide evidence promptly. The seller bears costs attributable to its defects, inaccurate listings, incorrect fulfilment or inadequate packaging. Taypret bears costs attributable to its own fault; carrier damage is allocated according to evidence and the delivery agreement, without delaying the customer’s remedy. Eligible change-of-mind return shipping is borne by the customer under the published policy. Do not deduct unapproved penalties or force store credit instead of a legally due refund.
10 Taxes and invoices
Each party is responsible for its own applicable registrations, filings and taxes. The seller must provide accurate VAT status and lawful invoices for product sales where it is legally the supplier. Taypret issues service invoices and performs any marketplace tax or invoicing obligations imposed on it by applicable law. Neither party may assume that calling Taypret an intermediary removes statutory tax obligations. Any deemed-supplier or collection obligations required by law prevail over the commercial allocation.
11 Content licence and customer data
The seller grants Taypret a non-exclusive licence during the relationship to display, resize and use approved brand and product content to operate and promote the marketplace. Ownership remains with the rights holder. Separate approval is required for materially altering brand claims or committing seller-funded campaigns. Retained transaction records may contain content after termination as legally necessary. Use customer data only to fulfil orders, resolve claims and meet legal duties, with appropriate security and lawful retention. Do not export it for unrelated marketing, sell it or disclose it unnecessarily. Report suspected breaches to Taypret without undue delay.
12 Suspension termination and liability
Unless the signed agreement states otherwise, either party may end the relationship with 30 days’ written notice. Taypret may suspend listings promptly for fraud, safety, unlawful products or serious security risks, and should give a reason where lawful. Remediable breaches receive a reasonable opportunity to be corrected. Termination does not cancel pending orders, refunds, lawful recordkeeping or final settlement duties. Each party is responsible for substantiated losses caused by its own breach, negligence or unlawful acts, with any indemnity or liability cap governed by the signed agreement and mandatory law. No clause protects a party from liability that cannot legally be excluded. Saudi law and competent Saudi courts apply; the Arabic version prevails in a language conflict.
